1. Confirmation of and Acceptance of Terms and Conditions
- This Terms of Use Agreement (the "Agreement") is entered into between you as the user of the Site ("You" or the "User") and GlobalFastener Inc.("GlobalFastener"). GlobalFastener websites (the "Sites") include Chinese and English versions of GlobalFastener and GlobalFastener Magazine Site (the domains names are respectively www.GlobalFastener.com, and www.164580.com). A User who accesses the Sites to enjoy GlobalFastener services (The "Services") provided with the three above-mentioned websites should read the articles in this Agreement carefully before use. If you disagree with this Agreement and its modifications from time to time, please do not use the Services. By accessing or using the Sites, you hereby agree to accept the terms and conditions set forth in this Agreement as a User, and you shall be bound by the Agreement.
- GlobalFastener may amend this Agreement at any time by posting the amended and restated Agreement on the Sites. The amended and restated Agreement shall be effective immediately upon posting. You will be able to find the most current version of this Agreement on the Sites.
- GlobalFastener provides the User with abundant online and offline resources, products and services via its product services mixes, including but not limited to various Fastener industry information, Fastener products database, on-line translation, data uploading, business opportunities match, and diverse advertisements. This Agreement applies to all GlobalFastener services. In the event a single service article, index or regulation is given upon a certain GlobalFastener service, you should abide by this Agreement and that relative article, index or regulation, etc posted by GlobalFastener at any time.
2. Rules of Use
- Users may browse the fastener products database and information at the Sites without registration. However, users are required to register when they need to release information regarding the products, quotations, supply and demand, etc at the Sites. Please provide true, accurate, current and complete information about yourself or your company for the registration. Your company will be accepted as the member after GlobalFastener Customer Service people confirm you submitted information. Users shall maintain and promptly update the Registration Content to keep it true, accurate, current and complete. If you provide any information that is untrue, inaccurate, outdated or incomplete or GlobalFastener has reasonable grounds to suspect that such information is untrue, inaccurate, outdated or incomplete, GlobalFastener reserves the right to suspend or terminate your member service and refuse Users to use any existing services and the subsequent functions or services may be provided. If you register at GlobalFastener in representative of a company or other legal subjects, you grant that you have the right to have the company or the legal subjects bound to this Agreement. Users further agree to once provide the information or data in the provision of services, they agree that GlobalFastener reserves the right to modify and standardize the information or data before releasing it at the website.
- User hereby represents, warrants and agrees that information submitted to GlobalFastener for display on the Site shall not:
- 1) be defamatory, libelous, unlawfully threatening or unlawfully harassing;
- 2) be obscene or contain or infer any pornography or sex-related merchandising or any other content or otherwise promotes sexually explicit materials or is otherwise harmful to minors;
- 3) involve any computer viruses or other destructive devices and codes that have the effect of damaging, interfering with, intercepting or expropriating any software or hardware system, data or personal information.
- If you register in the Sites, you agree to:
- a) provide true, accurate, current and complete information about yourself and

maintain and promptly update the Registration Content to keep it true, accurate, current and complete.
You are responsible for maintaining the confidentiality of your password and shall be responsible for all uses via your registration and/or login, whether authorized or unauthorized by you. You agree to notify immediately GlobalFastener of any unauthorized use or your registration, user account or password.
- You agree to grant to us a worldwide, royalty-free, perpetual, non-exclusive right and license (including any moral rights or other necessary rights) to use, display, reproduce, modify, adapt, publish, distribute, perform, promote, archive, translate, and to create derivative works and compilations in any way, or download to process or compile your information for other purposes and media.
3. Transactions
- Users shall provide only Fastener products to GlobalFastener. The products shall not:
- a) be part of a scheme to defraud other users of the Site or for any other unlawful purpose;
- b) infringe or otherwise abet or encourage the infringement or violation of any third party's copyright, patent, trademarks, trade secret or other proprietary right or rights of publicity and privacy;

violate any applicable law, statute, ordinance or regulation (including without limitation those governing exports control, consumer protection, unfair competition, anti-discrimination or false advertising);
Further, GlobalFastener reserves the right in it sole discretion to remove any material it reasonably believes that is unlawful, could subject GlobalFastener to liability, violates this Agreement or is otherwise found inappropriate in GlobalFastener’s opinion.
- Users hereby agree that they shall not maliciously operate the business process with a fraudulent partner (subsidiary client or a third party).
- Users hereby agree that they shall not disseminate defamatory feedback that may impair the integrity of the feedback system, including:
- a) leave yourself a positive feedback by adoption of other membership ID of yourself
- b) leave the Third Party or other Users negative feedback by adoption of other membership ID of yourself;
- c) leave a negative feedback to the user when it fails to fulfill some activities beyond the transaction scope.
- Through the Site, GlobalFastener provides an electronic web-based platform for exchanging information between buyers and suppliers of products and services. GlobalFastener does not control and is not liable to or responsible for the quality, safety, lawfulness or availability of the products or services offered for sale on the Site or the ability of the suppliers to complete a sale or the ability of buyers to complete a purchase.
4. Limitation of Liability
- The Services on GlobalFastener Sites are provided on an "as is" and "as available" basis. Under no circumstances shall GlobalFastener be held liable for a delay or failure or disruption of the content or services delivered through the Sites resulting directly or indirectly from acts of nature, forces or causes beyond its reasonable control, including without limitation, Internet failures, computer, telecommunications or any other equipment failures, electrical power failures, Acts of God, of third parties. GlobalFastener makes no warranty that our database will be uninterrupted, timely, securely or error free.
- The services available to you on GlobalFastener are subject to periods of interruption. While GlobalFastener does it’s best to maintain the services available on the Sites in time, GlobalFastener cannot be held responsible for any lost profits arising from the use of the websites. In addition, GlobalFastener reserves the right to suspend any part of the Services so as maintaining, upgrade, etc without notice.
- In no event shall GlobalFastener be responsible for any loss or damage arising from all communications or business activities between you and the advertising agencies through the Services, unless the responsibilities prescribed in relevant written laws.
- The sites may provide links to other Internet websites and resources. You expressly understand and agree that GlobalFastener is not responsible for the availability of such external sites or resources, and is not responsible or liable for any content, services, products, or other materials on or available from those sites or resources.
5. Termination
GlobalFastener reserves the right to terminate the service at any time or for any reason, with or without notice for any of the following reasons:
- 5.1) You have provided false information in connection with your member account;
- 5.2) You have breached the stipulations in this Agreement;
- 5.3) The requests from the Supervision Departments.
- 5.4) Other circumstances that GlobalFastener considers as necessary.
6. Intellectual Property Rights
The contents of GlobalFastener Sites include: text, software, sound, images, video clips, charts, WebPages, all Ad contents, and the business information provided to the Users. All these contents are protected under applicable copyright, trademark and other proprietary rights laws. The unauthorized copying, modification, use or publication of these contents is strictly prohibited.
7. Compensations
Users shall be responsible for any result of violation of national laws and regulations and this Agreement, and expenses arising from your use out of our range of services. Users agree to defend GlobalFastener and it affiliates interest.
8. Applicable Law
This Agreement is constructed and to be executed and interpreted by the laws of USA. Any terms in this Agreement in conflict with the law will be revised under the law; other terms shall remain in full force and effect. All disputes arising in connection with this Agreement or in the execution thereof, should be settled amicably through negotiations. Should such negotiations fail, Users and GlobalFastener agree to refer to arbitration court after such dispute occurs. Further, GlobalFastener reserves the right to take litigation and choose the court having jurisdiction on such dispute for settlement.
